Creator / Clipper Agreement
Governs your participation in palflip campaigns as a Creator. In addition to the Terms of Service and other incorporated policies. This is the reference copy — you accept the current version when you submit your first clip via the acceptance flow.
1. Eligibility
You must be at least 18 years old and legally able to enter into a binding contract to participate as a Creator. You must have, and keep connected, at least one eligible social media account, and comply with that platform's terms, including its age and monetisation rules.
2. Independent contractor
You are an independent contractor. Nothing here creates employment, agency, partnership, or joint-venture between you and palflip or any Brand. You control how and when you create Deliverables, and are solely responsible for your own income tax — palflip does not withhold tax and pays without deductions other than the fees in the Payments & Fees Policy. You must declare your earnings to SARS.
3. How campaigns work
Brands post Campaigns setting a Rate (per 1,000 Verified Views), a Max Payout cap, requirements, and whether the Campaign is open or requires approval to join. For open Campaigns you may join and submit directly; for approval Campaigns you must apply and be accepted first. Each Deliverable must be original and unique — duplicate submissions, reused links, and the same clip submitted to multiple Campaigns are prohibited.
4. Review, approval and rejection
A Deliverable may be approved, flagged, or rejected. Rejection is only valid where it fails Campaign requirements, breaches this Agreement or any incorporated policy or law, there is reasonable suspicion of fraud or view manipulation, or the Max Payout has been reached or the Campaign ended — with a reason given where reasonable. If a Brand does not review a submission in time, palflip may approve or reject it, including by automated means.
5. Payment
Approved Deliverables earn at the Campaign's Rate on Verified Views only, first-come-first-served, until the Max Payout is reached or the Campaign ends — whichever is first. No payment accrues after that point.
Palflip does not promise any minimum earnings, views, or that any Deliverable will be approved, and may withhold, reverse, or claw back any amount — including amounts already paid or withdrawn — for fraud, view manipulation, policy or legal breach, a chargeback, or a payment-provider reversal.
6. Advertising disclosure (ARB / CPA)
You must clearly and conspicuously disclose your Deliverable is a paid promotion — for example #ad or #sponsoredplaced where a viewer sees it without expanding or clicking "more" — in line with the Advertising Regulatory Board (ARB) code and the Consumer Protection Act. Anything you say about a Brand must be honest, reflect your genuine experience, and not be a performance claim the Brand hasn't approved.
7. Intellectual property and likeness
You retain ownership of the original creative elements of your Deliverable, excluding Brand content or marks. You grant palflip and the relevant Brand a worldwide, royalty-free, sublicensable, irrevocable, perpetual licence to use, reproduce, and adapt your Deliverable and your Likeness (image, voice, name, handles, statements) for operating, advertising, and promoting the Platform, the Campaign, and the Brand — set out in full in the Likeness Release, which you agree to per submission.
8. Your representations and warranties
You warrant that you are 18 or older; each Deliverable is your original work (except Brand-supplied content) and doesn't infringe any rights or breach any law or platform terms; you have the rights to grant the licences above; you are not a bot or "virtual influencer"; you will not generate, buy, or induce fake or artificial views; and you will comply with this Agreement and all applicable laws.
9. Off-platform dealings prohibited
All Campaign arrangements and payments must go through palflip. Soliciting or accepting payment outside the Platform, or bypassing its fees, may lead to suspension, termination, and withholding or clawback of amounts owed.
10. Suspension, banning and termination
A Brand may ban you from one or all of its Campaigns, and palflip may suspend or terminate your account, for failing Campaign requirements, breaching this Agreement or any policy, or reasonable suspicion of fraud or view manipulation. On termination you stop earning, must cease posting Campaign content if asked, and unpaid amounts may be withheld pending investigation.
11. Disclaimers, liability and indemnity
The disclaimers, limitation of liability, indemnity, dispute-resolution, and governing-law provisions of the Terms of Service (sections 10–14) apply to this Agreement and are incorporated here.
